Rules

9th April 1984

  1. The annual membership subscription is due at the AGM.
  2. Only paid up members are entitled to vote at Club Meetings.
  3. The Committee shall retire at the AGM but shall be eligible for re-election except that the Chairman shall not hold his office for more than two years, after which he or she shall be ineligible for re-election as Chairman for one year.
  4. At Committee Meetings, voting shall be by a show of hands. Resolutions shall be carried by a simple majority. At the AGM, voting of Committee members may be done by use of voting slips.
  5. Any Committee Member may be removed from office by a resolution passed at a General Meeting by a majority of two thirds of the votes cast.
  6. No member of the Club may incur expenditure on behalf of the Club except by leave of the Committee.
  7. The accounts of the Club shall be made up to March 31st each year and shall be audited by two persons elected at the AGM. Such auditors shall not have served on the Committee or had any connections with the transactions of the Club during the period covered by the audit.
  8. A statement of income and expenditure and balance shall be duplicated and distributed to members for consideration at the AGM.
  9. Nominations for election must be notified to the Secretary, in accordance with the instructions given in the Club Newsletter. These must be in writing, and the nominator must certify that the consent of the candidate has been obtained.
  10. Payment of membership subscription shall be deemed to be an acceptance of the Club's Constitution and Rules.
  11. Notification to all members of any change in the rules will be in the next Newsletter.
 

Constitution

9th April 1984

CONSTITUTION as adopted by the inaugural Meeting 28th December 1983 and as amended at the AGM held on 9th April 1984.

  1. The name of the Club shall be “3-4-40 Region British Balloon and Airship Club”.
  2. The objects of the Club will be to promote the study and practice of the art of lighter-than-air flight and the provision of social facilities for members.
  3. Membership will be open to all who support the objects of the Club, and members shall abide by the rules of the Club.
  4. The Club shall be managed by a committee of 7 elected annually, and that such committee members must be fully paid up members of the national British Balloon and Airship Club, to which the 3-4-40 Region B.B.A.C. is affiliated. The committee shall have the power:
    1. To arrange the programme of activities of the Club.
    2. To appoint the Officers from their number.
    3. To appoint any other officials or sub-committees from among the membership.
    4. To determine the rates of subscription for membership and review it annually.
    5. To consider applications for membership.
    6. To draw up rules for the affairs of the Club.
    7. To represent properly the members of the Club in all matters.
  5. Four members shall form a quorum at a Committee meeting.
  6. A general meeting shall be convened at intervals not exceeding 13 months, called the Annual General Meeting. Members shall receive one months notice of the meeting, which shall consider reports on the activities of the Club and on its financial affairs, and elect Committee members for the following year. Elections shall be by secret ballot.
  7. An extraordinary General Meeting shall be called when considered needful by the Committee, or upon the signed requisition to the Secretary of 25% of the membership. Fourteen days notice shall be given, stating the business to be conducted.
  8. The Officers and Committee shall be bound by the directions of the members in a resolution at a General Meeting.
  9. In the event of the winding up of the Club, any surplus assets shall be devoted to objectives similar to those of the Club, disposal of assets shall be by a majority vote of current fully paid up members at a special meeting called for the purpose, of which 28 days notice is given and sent to members last known address.
  10. This constitution may only be amended at a General Meeting by a simple majority of membership attending the meeting and after such amendment has been forwarded to the British Balloon and Airship Club Limited for ratification, if affiliation with that body is to remain.
  11. No officer, committee member or ordinary member of the 3-4-40 region of the B.B.A.C., shall claim to represent the British Balloon and Airship Club, nor incur any liability on its behalf, except by the express authority of the main committee of the B.B.A.C.
